{"data":{"id":"us-ky/krs-279.330","jurisdiction":"us-ky","citation":"KRS 279.330","heading":"Articles of incorporation.","body":"(1) The articles of incorporation of a corporation formed under KRS 279.310 to\n279.600 shall be entitled \"Articles of Incorporation of .... Corporation\" and the title\nmay include the word \"Cooperative.\" The articles shall satisfy the requirements of\nKRS 14A.2 -010 to 14A.2 -150, recite that they are executed pursuant to KRS\n279.310 to 279.600 and shall state:\n(a) The name of the corporation.\n(b) The address of its principal office.\n(c) The names and addresses of the incorporators.\n(d) The names and addresses of its trustees.\n(e) A general description of the territory in which it proposes to operate.\n(2) If a cooperative desires to issue nonvoting shares of stock, its articles of\nincorporation, in addition to the provisions of subsection (1) of this section, shall\nstate:\n(a) The total number of such shares of stock which may be issued and the par\nvalue of each share;\n(b) The fixed or maximum rate of dividends on the par value of such shares of\nstock, in either case not exceeding four percent (4%) per annum, and whet her\ndividends shall be cumulative or noncumulative;\n(c) Whether such shares of stock may be issued to members only or to members\nand nonmembers;\n(d) The maximum number of such shares of stock which may be owned by any\nperson;\n(e) The terms and conditions o n which such shares of stock may be transferred,\nredeemed or retired.","path":["KRS Chapter 279"],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=36735","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:53:31Z","sha256":"76cad0f9dd88676815f6f56ad8079c544bd8d16fd41b54745653ca26a2f38097","source_id":"us-ky","stale":false,"prev":"us-ky/krs-279.320","next":"us-ky/krs-279.340"},"notice":"GroundRules: Original legal text.
