{"data":{"id":"us-ky/krs-299.018","jurisdiction":"us-ky","citation":"KRS 299.018","heading":"Definition of \"company\" -- Dissolution of a company -- Duties of trustee --","body":"Examination by commissioner -- Notification to Secretary of State.\n(1) As used in this section, \"company\":\n(a) Means an entity organized under:\n1. This chapter; or\n2. Any law of this state for the purpose of transacting the business of\ninsurance upon the cooperative or assessment plan, as set forth in KRS\n299.020; and\n(b) Includes a company as defined in KRS 299.010(3) or (4).\n(2) A solvent company that is not the subj ect of a delinquency proceeding under\nSubtitle 33 of KRS Chapter 304 may voluntarily dissolve in accordance with the\nrequirements of this section.\n(3) (a) A company seeking to voluntarily dissolve under this section shall dissolve\nunder a dissolution plan that:\n1. Is in writing;\n2. Provides for:\na. The disposition, by bulk reinsurance or other lawful procedure, of\nall insurance in force with the company; and\nb. Full discharge of all obligations of the company;\n3. Designates or provides for one (1) or more trustees to conduct and\nadminister the settlement of the company's affairs;\n4. Is authorized by its board of directors;\n5. Is approved or adopted by policyholders or members by vote of not less\nthan two-third (2/3) of the policyholders or members voting thereon at a\nspecial meeting of the policyholde rs or members called and held\npursuant to any reasonable notice and information as the commissioner\napproves; and\n6. Is filed with and approved by the commissioner.\n(b) The commissioner shall approve a dissolution plan that complies with\nparagraph (a) of t his subsection unless the commissioner determines the plan\nis:\n1. Unlawful;\n2. Unfair;\n3. Inequitable; or\n4. Prejudicial to the interests of members, policyholders, or creditors.\n(4) The trustee or trustees designated in a dissolution plan filed by a compa ny under\nsubsection (3) of this section shall:\n(a) Upon approval of the plan by the commissioner, execute the plan; and\n(b) Certify, under oath and in writing, in articles of dissolution prepared in\naccordance with state law and filed with the commissioner , the date when all\nliabilities of the company have been discharged or otherwise adequately\nprovided for, and all assets of the company have been liquidated and\ndistributed, in accordance with the plan.\n(5) (a) The commissioner shall make an examination, i n a manner the commissioner\ndeems advisable, of the affairs and liquidation of a company that voluntarily\ndissolves under this section.\n(b) If, upon examination, the commissioner finds that the facts set forth in, and\nform of, the articles of dissolution f iled by the trustee or trustees under\nsubsection (4)(b) of this section are accurate and in compliance with state law,\nthe commissioner shall:\n1. Inscribe his or her approval on the articles; and\n2. Provide the approved articles to the company.\n(c) The company shall:\n1. Deliver the articles of dissolution approved by the commissioner under\nparagraph (b) of this subsection to the Secretary of State for filing; and\n2. Submit proof of the filing made under subparagraph 1. of this paragraph\nto:\na. The commissioner; and\nb. The trustee or trustees.\n(d) The trustee or trustees that receive proof under paragraph (c)2. of this\nsubsection of a filing made under paragraph (c)1. of this subsection shall:\n1. File, for recording, a copy of the articles of dissolution filed with the\nSecretary of State in the offi ce of the county clerk of the county in\nwhich the company's principal place of business is or was located; and\n2. Retain a copy, including proof of filing, of the articles of dissolution\nfiled with the Secretary of State under paragraph (c)1. of this subse ction\nfor the company's records.\n(6) The corporate existence of a company dissolved under this section shall forever be\nterminated upon the effective date of the articles of dissolution filed with the\nSecretary of State under subsection (5)(c)1. of this section.","path":["KRS Chapter 299"],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=57534","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:57:26Z","sha256":"849b3c42b949111196c131e01fc66dfb58ea64696a2875dc7e057206a8d8c505","source_id":"us-ky","stale":false,"prev":"us-ky/krs-299.017","next":"us-ky/krs-299.019"},"notice":"GroundRules: Original legal text.
