{"data":{"id":"us-ky/krs-299.100","jurisdiction":"us-ky","citation":"KRS 299.100","heading":"Annual meeting -- Adoption and amendment of bylaws -- Examination of","body":"books.\n(1) Every company shall hold, within the county in which its principal office is located\nin this state, a stated annual meeting of its members or policyholders, or\nrepresentatives of local boards or subordinate bodies, in the manner and subject to\nthe regulations, restrictions and provisions that its constitution and bylaws provide.\n(2) Every company authorized to do business in this state may, at any stated annual\nmeeting of its members or policyholders, adopt or amend its bylaws, rules and\nregulations. I f the board of directors determines that an emergency has arisen\nrequiring the adoption or amendment of any bylaw, rule or regulation before the\nnext ensuing stated annual meeting, the board shall mail a copy of the bylaw, rule or\nregulation to the members  and directors of the company, together with a notice of\nthe time and place when the same will be considered, which notice shall be the\nsame as required for a stated meeting. The bylaws, rules, regulations and\namendments thereto adopted from time to time a t the stated annual meeting, or at\nany meeting made necessary by an emergency, shall be binding on all members and\npolicyholders of the company, whether or not personally present at the meeting\nwhen the same were adopted.\n(3) The books and papers of each c ompany shall at all times be open for examination\nby the commissioner, and shall be open for examination by a committee of\nmembers or policyholders duly selected, authorized and empowered for that\npurpose by a writing signed by a majority of the members or  policyholders of the\ncompany, which written authority shall be presented to and filed with the company\nbefore any examination is made by the committee.","path":["KRS Chapter 299"],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=15831","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:57:26Z","sha256":"de74c3edc957442e969e54f276be4e4f1b104d8e965de8747d458db3aa530255","source_id":"us-ky","stale":false,"prev":"us-ky/krs-299.090","next":"us-ky/krs-299.110"},"notice":"GroundRules: Original legal text.
