{"data":{"id":"us-ky/krs-311b.040","jurisdiction":"us-ky","citation":"KRS 311B.040","heading":"Meetings -- Officers -- Quorum -- Vacancies -- Removal -- Exemption","body":"from liability -- Compensation.\n(1) The board shall meet at least two (2) times annually and may meet at other times as\nneeded. Special meetings shall be called by the chair, or by  written petition of three\n(3) board members to the chair of the board.\n(2) At the first meeting each year, the board shall elect by majority a chair to preside at\nthe meetings for a one (1) year term. A vice chair shall be elected by the board to\npreside over board meetings in the chair's absence.\n(3) The board chair shall establish an agenda to conduct business for each meeting. The\nagenda shall be distributed to board members at least two (2) weeks prior to the\nscheduled meeting. Specific items for consideration shall be submitted at least thirty\n(30) days prior to the next board meeting.\n(4) A majority of the board members shall constitute a quorum for the transaction of\nnecessary business.\n(5) Vacancies shall be filled in the manner of the original appo intment for the length of\nthe unexpired portion of the term only. Appointment to a vacancy for more than two\n(2) years shall constitute a full term of appointment.\n(6) Upon recommendation by a majority of the board members and after notice and a\nhearing, t he Governor may remove any member for failure to maintain the\nqualifications as a board member, incompetence, neglect of duty, or malfeasance in\noffice. Any board member removed under this subsection shall be entitled to appeal\nthe removal in the Franklin Circuit Court.\n(7) There shall be no liability on the part of, and no action for damages against, any\ncurrent or former board member, representative, agent, or employee of the board,\nwhen the person is acting with ordinary care, is functioning within the s cope of\nboard duties, is acting without malice, and has the reasonable belief that the actions\ntaken by him or her are warranted by law.\n(8) Each member of the board shall receive, in addition to travel, hotel, and other\nnecessary expenses, a reasonable am ount as determined by the board through the\npromulgation of administrative regulations for each day the member is engaged in\nthe discharge of official duties at scheduled or called meetings of the board.","path":["KRS Chapter 311B"],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=40198","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:58:08Z","sha256":"ced1a763de00c6fdf453c802d658e84ddc10a2307872d8908354898b83d5393c","source_id":"us-ky","stale":false,"prev":"us-ky/krs-311b.030","next":"us-ky/krs-311b.050"},"notice":"GroundRules: Original legal text.
