{"data":{"id":"us-ky/krs-355.1-103","jurisdiction":"us-ky","citation":"KRS 355.1-103","heading":"Construction of code to promote its purposes and policies -- Applicability","body":"of supplemental principles of law -- Use of official comments.\n(1) The Uniform Commercial Code shall be liberally construed and applied to promote\nits underlying purposes and policies, which are:\n(a) To simplify, clarify, and modernize the law governing commercial\ntransactions;\n(b) To permit the continued expansion of commercial practices through custom,\nusage, and agreement of the parties; and\n(c) To make uniform the law among the various jurisdictions.\n(2) Unless displaced by the particular provisions of the Uniform Commercial Code, the\nprinciples of law and equity, including the law merchant and the law relative to\ncapacity to contract, principal and agent, estoppel, fraud, misrepresentation, duress,\ncoercion, mistake, bankruptcy, and other validating or invalidating cause,\nsupplement its provisions.\n(3) Official comments to the Uniform Commercial Code, as published from time to\ntime by the National Conference of Commissioner s on Uniform State Laws,\nrepresent the express legislative intent of the General Assembly and shall be used as\na guide for interpretation of this chapter, except that if the text and the official\ncomments conflict, the text shall control.","path":[],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=33217","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:58:41Z","sha256":"d583f375959ed6926b10ace8407b77d8f8b504ca4fed1833367306b69274c526","source_id":"us-ky","stale":false,"prev":"us-ky/krs-355.1-102","next":"us-ky/krs-355.1-104"},"notice":"GroundRules: Original legal text.
