{"data":{"id":"us-ky/krs-355.1-301","jurisdiction":"us-ky","citation":"KRS 355.1-301","heading":"Parties' power to choose applicable law -- Exceptions.","body":"(1) This section applies to a transaction to the extent that it is governed by another\narticle of this chapter.\n(2) Except as otherwise provided in this section, when a transactio n bears a reasonable\nrelation to this state and also to another state or nation, the parties may agree that\nthe law of either this state or such other state or nation shall govern their rights and\nduties.\n(3) In the absence of an agreement effective under subsection (2) of this section, the\nrights and obligations of the parties are determined by the law that would be\nselected by application of this state's conflict-of-laws principles.\n(4) To the extent that this chapter governs a transaction, if one (1) of the following\nprovisions of this chapter specifies the applicable law, that provision governs and a\ncontrary agreement is effective only to the extent permitted by the law so specified:\n(a) KRS 355.2-402;\n(b) KRS 355.2A-105 and 355.2A-106;\n(c) KRS 355.4-102;\n(d) KRS 355.4A-507;\n(e) KRS 355.5-116;\n(f) KRS 355.8-110;\n(g) KRS 355.9-301 to 355.9-307; or\n(h) KRS 355.12-107.","path":[],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=55627","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:58:41Z","sha256":"28ea7397b03801fb4744787ad0ebf5eaf567223dfdc681eaa552c5316d69dab6","source_id":"us-ky","stale":false,"prev":"us-ky/krs-355.1-209","next":"us-ky/krs-355.1-302"},"notice":"GroundRules: Original legal text.
