{"data":{"id":"us-ky/krs-355.2-201","jurisdiction":"us-ky","citation":"KRS 355.2-201","heading":"Formal requirements -- Statute of frauds.","body":"(1) Except as otherwise provided in this section, a contract for the sale of goods for the\nprice of five hundred dollars ($500) or more is not enforceable by way of action or\ndefense unless there is a record sufficient to indicate that a contract for sale has\nbeen made between the parties and signed by the party against whom enforcement\nis sought or by the party's authorized agent or broker. A record is not insufficient\nbecause it omits or incorrectly states a term agreed upon, but the contract is not\nenforceable under this subsection beyond the quantity of goods shown in the record.\n(2) Between merchants, if within a reasonable time a record in confirmation of the\ncontract and sufficient against the sender is received and the party receiving it has\nreason to kn ow its contents, it satisfies the requirements of subsection (1) of this\nsection against the party unless notice in a record of objection to its contents is\ngiven within ten (10) days after it is received.\n(3) A contract which does not satisfy the requirem ents of subsection (1) of this section\nbut which is valid in other respects is enforceable:\n(a) If the goods are to be specially manufactured for the buyer and are not\nsuitable for sale to others in the ordinary course of the seller's business and the\nseller, before notice of repudiation is received and under circumstances which\nreasonably indicate that the goods are for the buyer, has made either a\nsubstantial beginning of their manufacture or commitments for their\nprocurement;\n(b) If the party against who m enforcement is sought admits in that party's\npleading or testimony, or otherwise, in court that a contract for sale was made,\nbut the contract is not enforceable under this provision beyond the quantity of\ngoods admitted; or\n(c) With respect to goods for  which payment has been made and accepted or\nwhich have been received and accepted (KRS 355.2-606).","path":[],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=55631","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:58:41Z","sha256":"52f1c1bc60e0e47e1f6710b128c25b24ca829c264cda723911499b593cca1f09","source_id":"us-ky","stale":false,"prev":"us-ky/krs-355.2-107","next":"us-ky/krs-355.2-202"},"notice":"GroundRules: Original legal text.
