{"data":{"id":"us-ky/krs-355.2-503","jurisdiction":"us-ky","citation":"KRS 355.2-503","heading":"Manner of seller's tender of delivery.","body":"(1) Tender of delivery requires that the seller put and hold conforming goods at the\nbuyer's disposition and give the buyer any notification reasonably necessary to\nenable him to take delivery. The manner, time and place for tender are determined\nby the agreement and this article, and in particular:\n(a) Tender must be at a reasonable hour, and if it is of goods they must be kept\navailable for the period reasonably necessary to enable the buyer to take\npossession; but\n(b) Unless otherwise agreed the buyer must f urnish facilities reasonably suited to\nthe receipt of the goods.\n(2) Where the case is within KRS 355.2 -504 respecting shipment tender requires that\nthe seller comply with its provisions.\n(3) Where the seller is required to deliver at a particular destinat ion tender requires that\nhe comply with subsection (1) and also in any appropriate case tender documents as\ndescribed in subsections (4) and (5) of this section.\n(4) Where goods are in the possession of a bailee and are to be delivered without being\nmoved:\n(a) Tender requires that the seller either tender a negotiable document of title\ncovering such goods or procure acknowledgement by the bailee of the buyer's\nright to possession of the goods; but\n(b) Tender to the buyer of a nonnegotiable document of title  or of a written\ndirection to the bailee to deliver is sufficient tender unless the buyer\nseasonably objects, and receipt by the bailee of notification of the buyer's\nrights fixes those rights as against the bailee and all third persons; but risk of\nloss of the goods and of any failure by the bailee to honor the nonnegotiable\ndocument of title or to obey the direction remains on the seller until the buyer\nhas had a reasonable time to present the document or direction, and a refusal\nby the bailee to honor the document or to obey the direction defeats the tender.\n(5) Where the contract requires the seller to deliver documents:\n(a) He must tender all such documents in correct form, except as provided in this\narticle with respect to bills of lading in a set (sub section (2) of KRS 355.2 -\n323); and\n(b) Tender through customary banking channels is sufficient and dishonor of a\ndraft accompanying or associated with the documents constitutes\nnonacceptance or rejection.","path":[],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=40649","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:58:42Z","sha256":"1e468cdfbcbdfc40ed16293ebc54e395a7d0cc73a0075db0d413c3c83ee40a1c","source_id":"us-ky","stale":false,"prev":"us-ky/krs-355.2-502","next":"us-ky/krs-355.2-504"},"notice":"GroundRules: Original legal text.
