{"data":{"id":"us-ky/krs-355.3-402","jurisdiction":"us-ky","citation":"KRS 355.3-402","heading":"Signature by representative.","body":"(1) If a person acting, or purporting to act, as a representative signs an instrument by\nsigning either the name of the represented person or the name of the signer, the\nrepresented person is bound by the signature to the same extent the represented\nperson would be bound if the signature were on a simple contract. If the represented\nperson is bound, the signature of the representative is the \"authorized signature of\nthe represented person\" and the represented person is liable on the instrument,\nwhether or not identified in the instrument.\n(2) If a representative signs the name of the representative to an instrument and the\nsignature is an authorized signature of the represented person, the following rules\napply:\n(a) If the form of the signature shows unambiguous ly that the signature is made\non behalf of the represented person who is identified in the instrument, the\nrepresentative is not liable on the instrument.\n(b) Subject to subsection (3) of this section, if:\n1. The form of the signature does not show unambig uously that the\nsignature is made in a representative capacity or;\n2. The represented person is not identified in the instrument,\nthe representative is liable on the instrument to a holder in due course that\ntook the instrument without notice that the rep resentative was not intended to\nbe liable on the instrument. With respect to any other person, the\nrepresentative is liable on the instrument unless the representative proves that\nthe original parties did not intend the representative to be liable on the\ninstrument.\n(3) If a representative signs the name of the representative as drawer of a check without\nindication of the representative status and the check is payable from an account of\nthe represented person who is identified on the check, the signer is no t liable on the\ncheck if the signature is an authorized signature of the represented person.","path":[],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=33472","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:58:44Z","sha256":"9b79aa5504b9c92bdd0b7a99bcff3295a3c6459b4ac8720b7f70ed61d54f4bc9","source_id":"us-ky","stale":false,"prev":"us-ky/krs-355.3-401","next":"us-ky/krs-355.3-403"},"notice":"GroundRules: Original legal text.
