{"data":{"id":"us-ky/krs-355.8-201","jurisdiction":"us-ky","citation":"KRS 355.8-201","heading":"\"Issuer.\"","body":"(1) With respect to an obligation on or a defense to a security, an \"issuer\" includes a\nperson that:\n(a) Places or authorizes the placing of its name on a security certificate, other than\nas authenticating trustee, registrar, transfer agent, or the like, to ev idence a\nshare, participation, or other interest in its property or in an enterprise, or to\nevidence its duty to perform an obligation represented by the certificate;\n(b) Creates a share, participation, or other interest in its property or in an\nenterprise, or undertakes an obligation, that is an uncertificated security;\n(c) Directly or indirectly creates a fractional interest in its rights or property, if the\nfractional interest is represented by a security certificate; or\n(d) Becomes responsible for, or i n place of, another person described as an issuer\nin this section.\n(2) With respect to an obligation on or defense to a security, a guarantor is an issuer to\nthe extent of its guaranty, whether or not its obligation is noted on a security\ncertificate.\n(3) With respect to a registration of a transfer, issuer means a person on whose behalf\ntransfer books are maintained.","path":[],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=33678","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:58:46Z","sha256":"480bae993e135c7c128109aa74508d752fac9e2b7e29b5e61c9fff658fbb3879","source_id":"us-ky","stale":false,"prev":"us-ky/krs-355.8-116","next":"us-ky/krs-355.8-202"},"notice":"GroundRules: Original legal text.
