{"data":{"id":"us-ky/krs-355.8-210","jurisdiction":"us-ky","citation":"KRS 355.8-210","heading":"Overissue.","body":"(1) In this section, \"overissue\" means the issue of securities in excess of the amount the\nissuer has corporate power to issue, but an overissue does not occur if appropriate\naction has cured the overissue.\n(2) Except as otherwise provided in subsections (3) a nd (4) of this section, the\nprovisions of this article which validate a security or compel its issue or reissue do\nnot apply to the extent that validation, issue, or reissue would result in overissue.\n(3) If an identical security not constituting an overis sue is reasonably available for\npurchase, a person entitled to issue or validation may compel the issuer to purchase\nthe security and deliver it if certificated or register its transfer if uncertificated,\nagainst surrender of any security certificate the person holds.\n(4) If a security is not reasonably available for purchase, a person entitled to issue or\nvalidation may recover from the issuer the price the person or the last purchaser for\nvalue paid for it with interest from the date of the person's demand.","path":[],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=33687","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:58:47Z","sha256":"cdf256cc4c9427ccacf62e95879a5e5decafe02a62a9cf95cf4d83c63794b22e","source_id":"us-ky","stale":false,"prev":"us-ky/krs-355.8-209","next":"us-ky/krs-355.8-301"},"notice":"GroundRules: Original legal text.
