An indorsement in blank includes an\nindorsement to bearer. A special indorsement specifies to whom a security is to be\ntransferred or who has power to transfer it. A holder may convert a blank\nindorsement to a special indorsement.\n(2) An indorsement purporting to be only of part of a security certificate representing\nunits intended by the issuer to be separately transferable is effective to the extent of\nthe indorsement.\n(3) An indorsement, whether special or in bl ank, does not constitute a transfer until\ndelivery of the certificate on which it appears or, if the indorsement is on a separate\ndocument, until delivery of both the document and the certificate.\n(4) If a security certificate in registered form has been d elivered to a purchaser without\na necessary indorsement, the purchaser may become a protected purchaser only\nwhen the indorsement is supplied. However, against a transferor, a transfer is\ncomplete upon delivery and the purchaser has a specifically enforcea ble right to\nhave any necessary indorsement supplied.\n(5) An indorsement of a security certificate in bearer form may give notice of an\nadverse claim to the certificate, but it does not otherwise affect a right to registration\nthat the holder possesses.\n(6) Unless otherwise agreed, a person making an indorsement assumes only the\nobligations provided in KRS 355.8 -108 and not an obligation that the security will\nbe honored by the issuer.","path":[],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=33691","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:58:47Z","sha256":"bc440427e40bdcafbf9121af43471ef596234d3b530941dd07401e468fd7551a","source_id":"us-ky","stale":false,"prev":"us-ky/krs-355.8-303","next":"us-ky/krs-355.8-305"},"notice":"GroundRules: Original legal text.
