{"data":{"id":"us-ky/krs-362.1-102","jurisdiction":"us-ky","citation":"KRS 362.1-102","heading":"Knowledge and notice.","body":"(1) A person knows a fact if the person has actual knowledge of it.\n(2) A person has notice of a fact if the person:\n(a) Knows of it;\n(b) Has received a notification of it;\n(c) Has reason to know it exists from all of the facts known to the person at the\ntime in question; or\n(d) By reason of a filing or recording to the extent provided by and subject to the\nlimitations set forth in KRS 362.1 -303(4) or (5), 362.1 -704(3), or 362.1 -\n805(3).\n(3) A person notifies or gives a notification to another by taking steps re asonably\ncalculated to inform the other person in ordinary course, whether or not the other\nperson obtains knowledge of it.\n(4) A person receives a notification when the notification:\n(a) Comes to the person's attention; or\n(b) Is duly delivered at the per son's place of business or at any other place held\nout by the person as a place for receiving communications.\n(5) Except as otherwise provided in subsection (6) of this section, a person other than\nan individual knows, has notice, or receives a notification of a fact for purposes of a\nparticular transaction when the individual conducting the transaction knows, has\nnotice, or receives a notification of the fact, or in any event when the fact would\nhave been brought to the individual's attention if the person  had exercised\nreasonable diligence. The person exercises reasonable diligence if it maintains\nreasonable routines for communicating significant information to the individual\nconducting the transaction and there is reasonable compliance with the routines.\nReasonable diligence does not require an individual acting for the person to\ncommunicate information unless the communication is part of the individual's\nregular duties or the individual has reason to know of the transaction and that the\ntransaction would be materially affected by the information.\n(6) A partner's knowledge, notice, or receipt of a notification of a fact relating to the\npartnership is effective immediately as knowledge by, notice to, or receipt of a\nnotification by the partnership, except in  the case of a fraud on the partnership\ncommitted by or with the consent of that partner.","path":[],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=34441","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:58:56Z","sha256":"930f347ddef8ddc869977b12770e3eb97f6b54aa3967dd89aa98f7a72f16c42f","source_id":"us-ky","stale":false,"prev":"us-ky/krs-362.1-101","next":"us-ky/krs-362.1-103"},"notice":"GroundRules: Original legal text.
