{"data":{"id":"us-ky/krs-362.1-805","jurisdiction":"us-ky","citation":"KRS 362.1-805","heading":"Statement of dissolution.","body":"(1) After dissolution, a partner who has not wrongfully dissociated may file a statement\nof dissolution stating the name of the partnership, that the partnership has dissolved\nand is winding up its business, and the date of dissolution.\n(2) A statement of diss olution cancels a filed statement of partnership authority for the\npurposes of KRS 362.1 -303(4) and is a limitation on authority for the purposes of\nKRS 362.1-303(5).\n(3) For the purposes of KRS 362.1-301 and 362.1-804, a person not a partner has notice\nof the dissolution and the limitation on the partners' authority as a result of the\nstatement of dissolution ninety (90) days after it is filed.\n(4) After filing a statement of dissolution, a dissolved partnership may file and, if\nappropriate, record a state ment of partnership authority which will operate with\nrespect to a person not a partner as provided in KRS 362.1 -303(4) and (5) in any\ntransaction, whether or not the transaction is appropriate for winding up the\npartnership business.","path":[],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=34507","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:58:57Z","sha256":"e375fe5cedb41386e2a842561b96203163bbc301e82bdef90b36a13029beb4c7","source_id":"us-ky","stale":false,"prev":"us-ky/krs-362.1-804","next":"us-ky/krs-362.1-806"},"notice":"GroundRules: Original legal text.
