{"data":{"id":"us-ky/krs-362.1-904","jurisdiction":"us-ky","citation":"KRS 362.1-904","heading":"Effect of conversion -- Entity unchanged.","body":"(1) A converted organization that has been converted pursuant to KRS 362.1 -901 to\n362.1-908 is for all purposes the same entity that existed before the conversion.\n(2) When a conversion takes place:\n(a) All property and contract rights owned by, and all rights , privileges, and\nimmunities of, the converting organization shall remain vested in the\nconverted organization without assignment, reversions, or impairment and\nwithout the converting organization having been dissolved;\n(b) All obligations of the convertin g partnership organization shall continue as\nobligations of the converted organization;\n(c) An action or proceeding pending against the converting partnership\norganization may be continued as if the organization had not occurred, and the\nname of the conver ted organization may be substituted in any pending action\nor proceeding for the name of the converting organization;\n(d) Any written partnership agreement of the converted partnership or limited\npartnership shall be binding upon each person who becomes a p artner in the\nconverted partnership or limited partnership; and\n(e) Except as otherwise provided in the plan of conversion, the terms and\nconditions of the plan of conversion take effect.\n(3) Unless otherwise provided in the partnership agreement, a partne r has no right to\ndissent from a conversion.","path":[],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=40458","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:58:57Z","sha256":"1fe5e213d0f4235a7843bb4c3409e6471301c49516c6f2a131cf0959fafaad4d","source_id":"us-ky","stale":false,"prev":"us-ky/krs-362.1-903","next":"us-ky/krs-362.1-905"},"notice":"GroundRules: Original legal text.
