{"data":{"id":"us-ky/krs-362.1-905","jurisdiction":"us-ky","citation":"KRS 362.1-905","heading":"Merger of partnerships.","body":"(1) Pursuant to a plan of merger approved as provided in subsection (3) of this section,\na partnership may be merged with one (1) or more partnerships or limited\npartnerships.\n(2) The plan of merger shall set forth:\n(a) The name of each partnership or limited partnership that is a party to the\nmerger;\n(b) The name of the surviving entity into which the other partnerships or limited\npartnerships will merge;\n(c) Whether the surviving entity is a partnership or a limited partnership and the\nstatus of each partner;\n(d) The terms and conditions of the merger;\n(e) The manner and basis of converting the interests of each party to the merger\ninto interests or obligations of the surviving entity, or into money or other\nproperty in whole or part; and\n(f) The street address of the surviving entity's chief executive office.\n(3) The plan of merger shall be approved:\n(a) In the case of a partnership that is a party to the merger, by all of the partners,\nor a number or percentage specified for merger in the partnership agreemen t;\nand\n(b) In the case of a limited partnership that is a party to the merger, by the vote\nrequired for approval of a merger by the law of the state or foreign jurisdiction\nin which the limited partnership is organized and, in the absence of such a\nspecifically applicable law, by all of the partners, notwithstanding a provision\nto the contrary in the partnership agreement.\n(4) After a plan of merger is approved and before the merger takes effect, the plan may\nbe amended or abandoned as provided in the plan.\n(5) The merger takes effect on the later of:\n(a) The approval of the plan of merger by all parties to the merger, as provided in\nsubsection (3) of this section;\n(b) The filing of all documents required by law to be filed as a condition to the\neffectiveness of the merger; or\n(c) Subject to KRS 14A.2-070, any effective date specified in the plan of merger.","path":[],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=36787","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:58:57Z","sha256":"9bb0b125f2d51aa7f6e9bf6bd1bf0e030d0fd0fc83545203938cc2ee08c85c54","source_id":"us-ky","stale":false,"prev":"us-ky/krs-362.1-904","next":"us-ky/krs-362.1-906"},"notice":"GroundRules: Original legal text.
