{"data":{"id":"us-ky/krs-362.1-951","jurisdiction":"us-ky","citation":"KRS 362.1-951","heading":"Statement of foreign qualification.","body":"(1) Before transacting business in this Commonwealth, a foreign limited liability\npartnership shall file a statement of foreign qualification. The statement shall\ncontain:\n(a) The name of the foreign limited liability partnership which satisfies the\nrequirements of KRS 14A.3-010;\n(b) The street address of the partnership's chief executive office and, if different,\nthe street address of an office of the partnership in this Commonwealth, if any;\n(c) The partnership's registered office and the name of its register ed agent at that\noffice, which shall comply with KRS 14A.4-010; and\n(d) Its jurisdiction of organization.\n(2) The status of a partnership as a foreign limited liability partnership remains\neffective, regardless of changes in the partnership, until it is ca nceled pursuant to\nKRS 362.1-105(4) or revoked pursuant to KRS 14A.9-080.\n(3) If the name of a foreign limited liability partnership is not distinguishable upon the\nrecords of the Secretary of State, then it may file a statement of foreign qualification\nusing a fictitious name that is distinguishable upon the records of the Secretary of\nState, in which instance the statement of foreign qualification shall be filed under\nthe fictitious name, shall recite that the partnership has filed the statement of foreign\nqualification under a fictitious name, and shall include in the statement its real name\nin its jurisdiction of organization.\n(4) Whether a foreign limited liability partnership is transacting business in the\nCommonwealth shall be determined under KRS 14A.9-010(2).\n(5) The consequences to a foreign limited liability partnership transacting business\nwithout a statement of foreign qualification shall be as set forth in KRS 14A.9-020.\n(6) A statement of foreign qualification shall authorize the foreign limite d liability\npartnership to transact business in this Commonwealth subject to the right of the\nCommonwealth to revoke the statement.\n(7) A foreign limited liability partnership, having filed a statement of foreign\nqualification, shall have the same as, but no greater rights than, and shall have the\nsame, but no greater privileges than, and except as otherwise provided by this\nsubchapter, shall be subject to the same duties, restrictions, penalties, and liabilities\nnow or later imposed on, a limited liability partnership.","path":[],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=41484","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:58:57Z","sha256":"7b5f28ca018c34ab3569ae8d4e78177932e79b0f8eb5f4dab27deb6b0b732e52","source_id":"us-ky","stale":false,"prev":"us-ky/krs-362.1-932","next":"us-ky/krs-362.1-952"},"notice":"GroundRules: Original legal text.
