{"data":{"id":"us-ky/krs-362.2-102","jurisdiction":"us-ky","citation":"KRS 362.2-102","heading":"Definitions for subchapter.","body":"As used in this subchapter, unless the context otherwise requires:\n(1) \"Certificate of limited partnership\" means the certificate required by KRS 362.2 -\n201 or filed under KRS 362.415 and includes the certificate as amended or restated;\n(2) \"Contribution\" means any benefit provided by a person to a limited partnership in\norder to become a partner or in the person's capacity as a partner;\n(3) \"Debtor in bankruptcy\" means a person that is the subject of:\n(a) An order for relief under Title 11 of the United Sta tes Code or a comparable\norder under a successor statute of general application; or\n(b) A comparable order under federal, state, or foreign law governing insolvency;\n(4) \"Deliver\" or \"delivery\" means any method of delivery used in conventional\ncommercial p ractice, including delivery by hand, mail, commercial delivery, and\nelectronic transmission;\n(5) \"Designated office\" means:\n(a) With respect to a limited partnership, the office that a limited partnership is\nrequired to designate and maintain under KRS 362.2-114; and\n(b) With respect to a foreign limited partnership, its principal office;\n(6) \"Distribution\" means a transfer of money or other property from a limited\npartnership to a partner in the partner's capacity as a partner or to a transferee on\naccount of a transferable interest owned by the transferee;\n(7) \"Electronic transmission\" or \"electronically transmitted\" means any process of\ncommunication not directly involving the physical transfer of paper that is suitable\nfor the retention, retrieval, and reproduction of information by the recipient;\n(8) \"Entity\" means a corporation, foreign corporation, not -for-profit corporation, profit\nand not -for-profit unincorporated associations, business or statutory trust, estate,\npartnership, limited partnership, tr ust, two (2) or more persons having a joint or\ncommon economic interest, and a state, national, or foreign government;\n(9) \"Foreign limited partnership\" means a partnership formed under the laws of a\njurisdiction other than this Commonwealth and required by those laws to have one\n(1) or more general partners and one (1) or more limited partners and includes a\nforeign limited liability limited partnership;\n(10) \"Foreign limited liability limited partnership\" means a foreign limited partnership\nwhose general partners have limited liability for the obligations of the foreign\nlimited partnership under a provision similar to KRS 362.2-404(3);\n(11) \"General partner\" means:\n(a) With respect to a limited partnership, a person that:\n1. Has been admitted as a general partner under KRS 362.2-401; or\n2. Was a general partner in a limited partnership when that limited\npartnership became subj ect to this subchapter under KRS 362.2 -974(1)\nand (2); and\n(b) With respect to a foreign limited partnership, a person that has rights, powers,\nand obligations similar to those of a general partner in a limited partnership;\n(12) \"Limited liability limited partnership,\" except in the phrase \"foreign limited liability\nlimited partnership,\" means a limited partnership whose certificate of limited\npartnership states that the limited partnership is a limited liability limited\npartnership;\n(13) \"Limited partner\" means:\n(a) With respect to a limited partnership, a person that:\n1. Has been admitted as a limited partner under KRS 362.2-301; or\n2. Was a limited partner in a limited partnership when that limited\npartnership became subject to this subchapter under KRS 3 62.2-974(1)\nand (2); and\n(b) With respect to a foreign limited partnership, a person that has rights, powers,\nand obligations similar to those of a limited partner in a limited partnership;\n(14) \"Limited partnership,\" except in the phrases \"foreign limited  partnership\" and\n\"foreign limited liability limited partnership,\" means an entity, having one (1) or\nmore general partners and one (1) or more limited partners, which is formed under\nthis subchapter by two (2) or more persons or becomes subject to this su bchapter\nunder KRS 362.2 -974(1) and (2). The term includes a limited liability limited\npartnership;\n(15) \"Name of record with the Secretary of State\" means any real, fictitious, reserved,\nregistered, or assumed name of an entity;\n(16) \"Partner\" means a limited partner or general partner;\n(17) \"Partnership agreement\" means the partners' agreement, oral, implied, in record\nform, or in any combination, concerning the limited partnership. The term includes\nthe agreement as amended;\n(18) \"Person\" means an indivi dual, corporation, business trust, estate, trust, partnership,\nlimited liability company, association, joint venture, government, governmental\nsubdivision, agency, or instrumentality, or any other legal or commercial entity;\n(19) \"Principal office\" means the office where the principal executive office of a limited\npartnership or foreign limited partnership is located, whether or not the office is\nlocated in this Commonwealth;\n(20) \"Professional services\" mean the personal services rendered by physicians,\nosteopaths, optometrists, podiatrists, chiropractors, dentists, nurses, pharmacists,\npsychologists, occupational therapists, veterinarians, engineers, architects,\nlandscape architects, certified public accountants, public accountants, physical\ntherapists, and attorneys;\n(21) \"Record\" means information that is inscribed on a tangible medium or that is stored\nin an electronic or other medium and is retrievable in perceivable form;\n(22) \"Required information\" means the information that a limited partnership is r equired\nto maintain under KRS 362.2-111;\n(23) \"Sign\" or \"signature\" includes any manual, facsimile, or conformed or electronic\nsignature;\n(24) \"State\" means a State of the United States, the District of Columbia, the\nCommonwealth of Puerto Rico, or any ter ritory or insular possession subject to the\njurisdiction of the United States;\n(25) \"Transfer\" includes an assignment, conveyance, deed, bill of sale, lease, mortgage,\nsecurity interest, encumbrance, gift, and transfer by operation of law;\n(26) \"Transferable interest\" means the partner's right to receive distributions; and\n(27) \"Transferee\" means a person to which all or part of a transferable interest has been\ntransferred, whether or not the transferor is a partner.","path":[],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=34523","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:58:57Z","sha256":"c6b67e44323da420d589c1fb976f6f2e3ffa3e1462d11db3a33ffa30e78a3baa","source_id":"us-ky","stale":false,"prev":"us-ky/krs-362.2-1005","next":"us-ky/krs-362.2-103"},"notice":"GroundRules: Original legal text.
