{"data":{"id":"us-ky/krs-362.2-201","jurisdiction":"us-ky","citation":"KRS 362.2-201","heading":"Formation of limited partnership -- Certificate of limited partnership.","body":"(1) In order to form a limited partnership, a certificate of limited partnership shall be\ndelivered to the Secretary of State for filing. The certificate shall state:\n(a) The name of the limited partnership, which shall comply with KRS 14A.3 -\n010;\n(b) The street address of the initial designated office;\n(c) The limited partnership's initial registered office and the name of its initial\nregistered agent which shall comply with KRS 14A.4-010;\n(d) The name and street address of each general partner; and\n(e) Any additional information required by this subchapter.\n(2) If the limited partnership elects to be a limited liability limited partnership, then the\ncertificate shall contain a statement that the limited partnership elects to be a limited\nliability limited partnership.\n(3) A certificate of limited partnership may also contain any other matters but shall not\nvary from the provisions specified in KRS 362.2 -110(2) in a manner inconsistent\nwith that section.\n(4) Subject to subsection (2) of this section, if any provision of a partnership agreement\nis inconsistent with the filed certificate of limited partnership or with a filed\nstatement of dissociation, cancellation, or change, or filed articles of conversion or\nmerger, then:\n(a) The partnership agreement prevails as to partners and transferees; and\n(b) The filed certificate of limited partnership, statement of dissociation,\ncancellation, or change, or articles of conversion or merger prevail as to\npersons, other than partners and transferees, that reasonably rel y on the filed\nrecord to their detriment.","path":[],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=36807","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:58:58Z","sha256":"4e5a1a86f6742478c450adb824d306523e7dc52cd20ab28d79d7ea3eac585aa8","source_id":"us-ky","stale":false,"prev":"us-ky/krs-362.2-125","next":"us-ky/krs-362.2-202"},"notice":"GroundRules: Original legal text.
