{"data":{"id":"us-ky/krs-362.2-202","jurisdiction":"us-ky","citation":"KRS 362.2-202","heading":"Amendment or restatement of certificate.","body":"(1) In order to amend its certificate of limited partnership, a limited partnership shall\ndeliver to the Secretary of State for filing an amendment that satisfies KRS 14A.2 -\n010 to 14A.2 -150 or, pursuant to KRS 362.2 -951 to 362.2 -963, articles of merger,\nstating:\n(a) The name of the limited partnership;\n(b) The date of filing of its initial certificate; and\n(c) The changes the amendment makes to the certificate as most recently\namended or restated.\n(2) A limited partnership shall promptly deliver to the Secretar y of State for filing an\namendment to a certificate of limited partnership to reflect:\n(a) The admission of a new general partner;\n(b) The dissociation of a person as a general partner; or\n(c) The appointment of a person to wind up the limited partnership' s activities\nunder KRS 362.2-803(3) or (4).\n(3) A general partner who knows that any information in a filed certificate of limited\npartnership was false when the certificate was filed or has become false due to\nchanged circumstances shall promptly:\n(a) Cause the certificate to be amended; or\n(b) If appropriate, deliver to the Secretary of State for filing a statement of change\npursuant to KRS 14A.5 -010 or a statement of correction pursuant to KRS\n14A.2-090.\n(4) A certificate of limited partnership may be amended at any time for any other proper\npurpose as determined by the limited partnership.\n(5) A restated certificate of limited partnership may be delivered to the Secretary of\nState for filing in the same manner as an amendment.\n(6) An amendment or restated certificate is effective as provided in KRS 14A.2-070.","path":[],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=36809","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:58:58Z","sha256":"3ee80b631434eb23a65326ca9b95233efbced3a7793350b2b1f97ff3fb5fcd8d","source_id":"us-ky","stale":false,"prev":"us-ky/krs-362.2-201","next":"us-ky/krs-362.2-203"},"notice":"GroundRules: Original legal text.
