{"data":{"id":"us-ky/krs-362.2-204","jurisdiction":"us-ky","citation":"KRS 362.2-204","heading":"Signing of records.","body":"(1) Each record delivered to the Secretary of State for filing pursuant to this subchapter\nshall be signed in the following manner:\n(a) An initial certificate of limited partnership shall be signed by all general\npartners listed in the certificate.\n(b) An amendment adding or deleting a statement that the limited partnership is a\nlimited liability limited partnership shall be signed by all general partners\nlisted in the certificate.\n(c) An amendment designating as general partner a person admitted under KRS\n362.2-803(3)(b) following the dissociation of a limited partnership's last\ngeneral partner shall be signed by that person.\n(d) An amendment required by KRS 362.2-803(3) following the appointment of a\nperson to wind up the dissolved limited partnership's activi ties shall be signed\nby that person.\n(e) Any other amendment shall be signed by:\n1. At least one (1) general partner listed in the certificate;\n2. Each other person designated in the amendment as a new general\npartner; and\n3. Each person that the amendment  indicates has dissociated as a general\npartner, unless:\na. The person is deceased, or a guardian or general conservator has\nbeen appointed for the person and the amendment so states; or\nb. The person has previously delivered to the Secretary of State for\nfiling a statement of dissociation.\n(f) A restated certificate of limited partnership shall be signed by at least one (1)\ngeneral partner listed in the certificate, and, to the extent the restated\ncertificate effects a change under any other paragraph of t his subsection, the\ncertificate shall be signed in a manner that satisfies that paragraph.\n(g) A statement of cancellation shall be signed by all general partners listed in the\ncertificate or, if the certificate of a dissolv ed limited partnership lists no\ngeneral partners, then by the person appointed pursuant to KRS 362.2 -803(3)\nor (4) to wind up the dissolved limited partnership's activities.\n(h) Articles of conversion shall be signed by each general partner listed in the\ncertificate of limited partnership.\n(i) Articles of merger shall be signed as provided in KRS 362.2-958(1).\n(j) Any other record delivered on behalf of a limited partnership to the Secretary\nof State for filing shall be signed by at least one (1) general pa rtner listed in\nthe certificate.\n(k) A statement by a person pursuant to KRS 362.2 -605(4) stating that the person\nhas dissociated as a general partner shall be signed by that person.\n(l) A statement of withdrawal by a person pursuant to KRS 362.2 -306 shall be\nsigned by that person.\n(m) A record delivered on behalf of a foreign limited partnership to the Secretary\nof State for filing shall be signed by at least one (1) general partner of the\nforeign limited partnership.\n(n) Any other record delivered on beha lf of any person to the Secretary of State\nfor filing shall be signed by that person.\n(2) Any person may sign by an attorney in fact any record to be filed pursuant to this\nsubchapter.","path":[],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=34570","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:58:58Z","sha256":"c9a1f8384cbe70990729fc23a1213992efaf9b1eacc35cb74c9d3819095bb015","source_id":"us-ky","stale":false,"prev":"us-ky/krs-362.2-203","next":"us-ky/krs-362.2-205"},"notice":"GroundRules: Original legal text.
