{"data":{"id":"us-ky/krs-362.2-407","jurisdiction":"us-ky","citation":"KRS 362.2-407","heading":"Right to information of general partner and former general partner.","body":"(1) Without having to demonstrate, state, or have any particular purpose for seeking the\ninformation, a general partner may during regular business hours inspect and copy:\n(a) In the limited partnership's designated office, the required information; and\n(b) At a reasonable location specified by the limited partnership, any other records\nmaintained by the limited partnership regarding the limited partnership's\nactivities and financial condition.\n(2) Each general partner and the limited partnership shall furnish to a general partner:\n(a) Without demand, any information concerning the limited partnership's\nactivities and activities reasonably required for the proper exercise of the\ngeneral partner's rights and duties under the partnership agreement or this\nsubchapter; and\n(b) On demand, any other information concerning the limited partnership's\nactivities, except to the extent the demand or the information demanded is\nunreasonable or otherwise improper under the circumstances.\n(3) Subject to subsection (5) of this s ection, on ten (10) days' demand made in a record\nreceived by the limited partnership, a person dissociated as a general partner may\nhave access to the information and records described in subsection (1) of this\nsection at the location specified in subsection (1) of this section if:\n(a) The information or record pertains to the period during which the person was\na general partner;\n(b) The person seeks the information or record in good faith; and\n(c) The person satisfies the requirements of KRS 362.2-304(2).\n(4) The limited partnership shall respond to a demand made pursuant to subsection (3)\nof this section in the same manner as provided in KRS 362.2-304(3).\n(5) If a general partner dies, then KRS 362.2-704 applies.\n(6) The limited partnership may impose rea sonable limitations on the use of\ninformation under this section. In any dispute concerning the reasonableness of a\nrestriction under this subsection, the limited partnership has the burden of proving\nreasonableness.\n(7) A limited partnership may charge a person dissociated as a general partner that\nmakes a demand under this section reasonable costs of copying, limited to the costs\nof labor and material.\n(8) A general partner or person dissociated as a general partner may exercise the rights\nunder this section through an attorney or other agent. In that event, any limitation on\navailability and use under subsection (6) of this section applies to the attorney o r\nother agent and the general partner or person dissociated as a general partner.\n(9) The rights under this section do not extend to a transferee, but:\n(a) Subsection (3) of this section creates rights for a person dissociated as a\ngeneral partner, and tho se rights extend to the legal representative of an\nindividual who dissociated as a general partner under KRS 362.2 -603(7)(b) or\n(c); and\n(b) Subsection (5) of this section recognizes the rights of the executor or\nadministrator of a deceased general partner.","path":[],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=34589","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:58:58Z","sha256":"d4747e315495fa1f3bddcd7b7230513329ebc54b360c89c8c8bda1d2b1f99b5d","source_id":"us-ky","stale":false,"prev":"us-ky/krs-362.2-406","next":"us-ky/krs-362.2-408"},"notice":"GroundRules: Original legal text.
