{"data":{"id":"us-ky/krs-362.2-801","jurisdiction":"us-ky","citation":"KRS 362.2-801","heading":"Nonjudicial dissolution.","body":"Except as otherwise provided in KRS 362.2 -802, a limited partnership is dissolved, and\nits activities shall be wound up, only upon the occurrence of any of the following:\n(1) The happening of an event specified in the partnership agreement;\n(2) The consent of all general partners and of all limited partners;\n(3) After the dissociation of a person as a general partner:\n(a) If the limited partnership has at least one (1) remaining general partner, the\nconsent to dissolve the limited partnership given within n inety (90) days after\nthe dissociation by partners owning a majority of the rights to receive\ndistributions as partners at the time the consent is to be effective; or\n(b) If the limited partnership does not have a remaining general partner, the\npassage of ninety (90) days after the dissociation, unless before the end of that\nperiod:\n1. Consent to continue the activities of the limited partnership and admit at\nleast one (1) general partner is given by limited partners owning a\nmajority of the rights to recei ve distributions as limited partners at the\ntime the consent is to be effective; and\n2. At least one (1) person is admitted as a general partner in accordance\nwith that consent;\n(4) The passage of ninety (90) days after the dissociation of the limited part nership's\nlast limited partner, unless before the end of that period the limited partnership\nadmits at least one (1) limited partner;\n(5) The administrative dissolution of the limited partnership by the Secretary of State\nunder KRS 14A.7-010 or predecessor law; or\n(6) Except as provided in subsection (3) or (4) of this section, the same person shall not\nbe both the only general partner and the only limited partner.","path":[],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=44371","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:58:58Z","sha256":"97544c3c52e30338028edcc3623471db718492f79ead22a4249d3e26292005d2","source_id":"us-ky","stale":false,"prev":"us-ky/krs-362.2-704","next":"us-ky/krs-362.2-802"},"notice":"GroundRules: Original legal text.
