{"data":{"id":"us-ky/krs-362.2-805","jurisdiction":"us-ky","citation":"KRS 362.2-805","heading":"Liability after dissolution of general partner and person dissociated as","body":"general partner to limited partnership, other general partners, and persons\ndissociated as general partner.\n(1) If a general partner having knowledge of the dissolution causes a limited partnership\nto incur an obligation under KRS 362.2 -804(1) by an act that is not appropriate for\nwinding up the partnership's activities, then the general partner is liable:\n(a) To the limited partnership for any damage caused to the limited partn ership\narising from the obligation; and\n(b) If another general partner or a person dissociated as a general partner is liable\nfor the obligation, to that other general partner or person for any damage\ncaused to that other general partner or person arising from that liability.\n(2) If a person dissociated as a general partner causes a limited partnership to incur an\nobligation under KRS 362.2-804(2), then the person is liable:\n(a) To the limited partnership for any damage caused to the limited partnership\narising from the obligation; and\n(b) If a general partner or another person dissociated as a general partner is liable\nfor that obligation, then to that general partner or other person for any damage\ncaused to that general partner or other person arising from that liability.","path":[],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=34615","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:58:58Z","sha256":"7f9de2e6c1c6dc86afddff337e71a8c8a5a33fc4a0502f13d164cbfc49da69c9","source_id":"us-ky","stale":false,"prev":"us-ky/krs-362.2-804","next":"us-ky/krs-362.2-806"},"notice":"GroundRules: Original legal text.
