{"data":{"id":"us-ky/krs-362.2-807","jurisdiction":"us-ky","citation":"KRS 362.2-807","heading":"Other claims against dissolved limited partnership.","body":"(1) A dissolved limited partnership may publish notice of its dissolution and request\npersons having claims against the limited partnership to present them in accordance\nwith the notice.\n(2) The notice shall:\n(a) Be published at least once in a newspaper of ge neral circulation in the county\nin which the dissolved limited partnership's principal office is located or, if it\nhas none in this Commonwealth, then in the county in which the limited\npartnership's registered office is or was last located;\n(b) Describe t he information required to be contained in a claim and provide a\nmailing address to which the claim is to be sent;\n(c) State that a claim against the limited partnership is barred unless a proceeding\nto enforce the claim is commenced within five (5) years after publication of\nthe notice; and\n(d) Unless the limited partnership has been throughout its existence a limited\nliability limited partnership, state that the barring of a claim against the\nlimited partnership will also bar any corresponding claim again st any present\nor dissociated general partner which is based on KRS 362.2-404.\n(3) If a dissolved limited partnership publishes a notice in accordance with subsection\n(2) of this section, the claim of each of the following claimants is barred unless the\nclaimant commences a proceeding to enforce the claim against the dissolved limited\npartnership within five (5) years after the publication date of the notice:\n(a) A claimant that did not receive notice in a record under KRS 362.2-806;\n(b) A claimant whose cl aim was timely sent to the dissolved limited partnership\nbut not acted on; and\n(c) A claimant whose claim is contingent or based on an event occurring after the\neffective date of dissolution.\n(4) A claim not barred under this section may be enforced:\n(a) Against the dissolved limited partnership, to the extent of its undistributed\nassets;\n(b) If the assets have been distributed in liquidation, against a partner or transferee\nto the extent of that person's proportionate share of the claim or the limited\npartnership's assets distributed to the partner or transferee in liquidation,\nwhichever is less, but a person's total liability for all claims under this\nparagraph does not exceed the total amount of assets distributed to the person\nas part of the winding up of the dissolved limited partnership; or\n(c) Against any person liable on the claim under KRS 362.2-404.","path":[],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=34617","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:58:59Z","sha256":"ce1d7363a18c3dd58143d2cc2b8e941578cce1f303efbf0f2ba1260522f86c43","source_id":"us-ky","stale":false,"prev":"us-ky/krs-362.2-806","next":"us-ky/krs-362.2-808"},"notice":"GroundRules: Original legal text.
