{"data":{"id":"us-ky/krs-362.2-952","jurisdiction":"us-ky","citation":"KRS 362.2-952","heading":"Conversion.","body":"(1) Subject to KRS 362.2 -960, a partnership may be converted to a limited partnership\nas provided in KRS 362.1-902.\n(2) Subject to KRS 362.2 -960, a limited partnership may be converted to a partnership\nas provided in KRS 362.1-903.\n(3) Subject to KRS 362.2 -960, a limited partnership may be converted to a limited\nliability company as provided in KRS 275.370.\n(4) A limited liability company may be converted to a limited partnership pursuant to\nthis section and KRS 362.2 -953, 362.2 -954, and 362.2 -955 and a plan of\nconversion, if:\n(a) The limited liability companies' governing statute authorizes the conversion;\n(b) The conversion is not prohibited by the law of the jurisdiction that enacted\nthat governing statute; and\n(c) The limited liability company complies with its governing statute in effecting\nthe conversion.\n(5) A plan of conversion of a limited liability company into a limited partnership shall\nbe in a record and shall include:\n(a) The name of the limited liability company before conversion;\n(b) The name of the converted limited partnership;\n(c) The terms and conditions of the conversion, including the manner and basis\nfor converting interests in the converting organization into any combination of\nmoney, interests in the converted limited partnership, and othe r consideration;\nand\n(d) The organizational documents of the converted limited partnership.","path":[],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=41510","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:58:59Z","sha256":"7f910ae580e1cd8eb14bb487d5e37da180574076cb9756393a39dd94b6c0eac9","source_id":"us-ky","stale":false,"prev":"us-ky/krs-362.2-951","next":"us-ky/krs-362.2-953"},"notice":"GroundRules: Original legal text.
