{"data":{"id":"us-ky/krs-362.2-959","jurisdiction":"us-ky","citation":"KRS 362.2-959","heading":"Effect of merger.","body":"When a merger takes effect:\n(1) The separate existence of every domestic limited partnership that is a party to the\nmerger except the surviving domestic limited partnership, if any, shall cease;\n(2) The title to all real estate and other property owned by each domestic limited\npartnership that is a party to the merger shall be vested in the surviving entity\nwithout reversion or impairment;\n(3) The surviving entity shall be responsible for all liabilities of each domestic limited\npartnership that is a party to the merger;\n(4) A proceeding pending by or against any domestic limited partnership party to the\nmerger may be continued as if the merger had not occurred, or the surviving entity\nmay be substituted in the proceeding for the domestic limited partnership whose\nexistence ceased;\n(5) If a domestic limited partnership is the surviving entity of the merger, then the\ncertificate of limited partnership and partnership agreement of that limited\npartnership shall be amended to the extent provided in the plan of merger;\n(6) The partnership interests of every domestic limited partnership that is a party to the\nmerger that are to be converted into partnership interests, membership interests,\nshares, or other securities or obligations of the surviving limited partnership, limited\nliability company, or corporation or into cash or other property, in whole or in part,\nshall be so converted and the former holders of such partnership interests shall be\nentitled only to the rights provided in the plan of merger;\n(7) If the surviving business entity is a li mited partnership, such amendments to the\ncertificate of limited partnership thereof as are set forth in the plan of merger shall\nbe effective; and\n(8) If the surviving business entity is a limited partnership, the written partnership\nagreement provided fo r in the plan of merger, if any, shall be binding upon each\npartner in that limited partnership.","path":[],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=41524","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:58:59Z","sha256":"207897251bf10d7c36ce19b86cc15d4ee75a4400be96252f655ab1ddfe5320b3","source_id":"us-ky","stale":false,"prev":"us-ky/krs-362.2-958","next":"us-ky/krs-362.2-960"},"notice":"GroundRules: Original legal text.
