{"data":{"id":"us-ky/krs-362.2-960","jurisdiction":"us-ky","citation":"KRS 362.2-960","heading":"Restrictions on approval of conversions and mergers and on","body":"relinquishing LLLP status.\n(1) If a partner of a converting or constituent limited partnership will have personal\nliability with respect to a converted or surviving organization, then approv al and\namendment of a plan of conversion or merger are ineffective without the consent of\nthat partner, unless:\n(a) The limited partnership's partnership agreement provides for the approval of\nthe conversion or merger with the consent of less than all the partners; and\n(b) That partner has consented to that provision of the partnership agreement.\n(2) An amendment to a certificate of limited partnership which deletes a statement that\nthe limited partnership is a limited liability limited partnership is ineffective without\nthe consent of each general partner unless:\n(a) The limited partnership's partnership agreement provides for that amendment\nwith the consent of less than all the general partners; and\n(b) Each general partner that does not consent to the ame ndment has consented to\nthat provision of the partnership agreement.\n(3) A partner does not give the consent required by subsection (1) or (2) of this section\nmerely by consenting to a provision of the partnership agreement which permits the\npartnership agreement to be amended with the consent of less than all the partners.","path":[],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=41526","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:58:59Z","sha256":"e6faeca189935738b320076383f3c78c0b216fc1233d1dfabef8dbdb6ddcc868","source_id":"us-ky","stale":false,"prev":"us-ky/krs-362.2-959","next":"us-ky/krs-362.2-961"},"notice":"GroundRules: Original legal text.
