{"data":{"id":"us-ky/krs-362.305","jurisdiction":"us-ky","citation":"KRS 362.305","heading":"Dissolution by decree of court.","body":"(1) On application by or for a partner the court shall decree a dissolution whenever:\n(a) A partner has been adjudged mentally disabled by a court of competent\njurisdiction in any judicial proceeding or is shown to be of unsound mind,\n(b) A partner becomes in any other way incapable of performing his part of the\npartnership contract,\n(c) A partner has been guilty of such conduct as tends to affect prejudicially the\ncarrying on of the business,\n(d) A partner willfully or persistently commits a breach of the part nership\nagreement, or otherwise so conducts himself in matters relating to the\npartnership business that it is not reasonably practicable to carry on the\nbusiness in partnership with him,\n(e) The business of the partnership can only be carried on at a loss,\n(f) Other circumstances render a dissolution equitable.\n(2) On the application of the purchaser of a partner's interest under KRS 362.280 or\n362.285:\n(a) After the termination of the specified term or particular undertaking,\n(b) At any time if the partne rship was a partnership at will when the interest was\nassigned or when the charging order was issued.","path":["KRS Chapter 362"],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=34320","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:58:55Z","sha256":"37fefa53a1457966b4773b9ef78fffff70e557212a9f7633357bc7cd50c09e62","source_id":"us-ky","stale":false,"prev":"us-ky/krs-362.300","next":"us-ky/krs-362.310"},"notice":"GroundRules: Original legal text.
