{"data":{"id":"us-ky/krs-362.401","jurisdiction":"us-ky","citation":"KRS 362.401","heading":"Definitions.","body":"As used in KRS 362.403 to 362.525, unless the context otherwise requires, the term:\n(1) \"Certificate of limited partnership\" means the certificate referred to in KRS\n362.415, or the certificate of limited partnership as amended or restated;\n(2) \"Business e ntity\" means a domestic or foreign limited liability company,\ncorporation, partnership, limited partnership, business or statutory trust and not -for-\nprofit unincorporated association;\n(3) \"Contribution\" means any cash, property, services rendered, or a promissory note or\nother obligation to contribute cash or property or to perform services, which a\npartner contributes to a limited partnership in his capacity as a partner;\n(4) \"Event of withdrawal of a general partner\" means an event that causes a person to\ncease to be a general partner as provided in KRS 362.445;\n(5) \"Foreign limited partnership\" means a limited partnership formed under the laws of\nany state other than this state and having as partners one (1) or more general\npartners and one (1) or more limited partners;\n(6) \"General partner\" means a person who has been admitted to a limited partnership as\na general partner in accordance with the partnership agreement and is named in the\ncertificate of limited partnership as a general partner;\n(7) \"Limited partner\" means a person who has been admitted to a limited partnership as\na limited partner in accordance with the partnership agreement;\n(8) \"Limited partnership\" or \"domestic limited partnership\" means a partnership formed\nby two (2) or more persons unde r the laws of this state and having one (1) or more\ngeneral partners and one (1) or more limited partners;\n(9) \"Name of record with the Secretary of State\" means any real, fictitious, reserved,\nregistered, or assumed name of a business entity;\n(10) \"Partner\" means a limited partner or general partner;\n(11) \"Partnership agreement\" means any valid agreement, written or oral, of the partners\nas to the affairs of a limited partnership and the conduct of its business;\n(12) \"Partnership interest\" means a partner' s share of the profits and losses of a limited\npartnership and the right to receive distributions of partnership assets;\n(13) \"Person\" means a natural person; trust; estate; or business entity;\n(14) \"Real name\" shall have the meaning set forth in KRS 365.015; and\n(15) \"State\" means a state, territory, or possession of the United States, the District of\nColumbia or the Commonwealth of Puerto Rico.","path":["KRS Chapter 362"],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=34332","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:58:55Z","sha256":"95bc8f0d498a43ecada2447587e46c802d6d4579ea823bcdfb232154c676a19c","source_id":"us-ky","stale":false,"prev":"us-ky/krs-362.360","next":"us-ky/krs-362.403"},"notice":"GroundRules: Original legal text.
