{"data":{"id":"us-ky/krs-362.415","jurisdiction":"us-ky","citation":"KRS 362.415","heading":"Formation -- Certificate of limited partnership.","body":"(1) In order to form a limited partnership, a certificate of limited partnership shall be\nexecuted and filed with the Secretary of State. The certificate shall be in the form\nprescribed by the Secretary of State and shall set forth:\n(a) The name of the limited partnership;\n(b) The address of the office and the name and address of the agent for service of\nprocess required to be maintained by KRS 14A.4-010 or predecessor law;\n(c) The name and the business address of each general partner;\n(d) A mailing address for the limited partnership;\n(e) The latest date upon which the limited partnership is to dissolve; and\n(f) Any other matters the general partners determine to include therein.\n(2) A limited partnership shall be formed at the time of the filing of the certifi cate of\nlimited partnership with the Secretary of State or at any later time specified in the\ncertificate of limited partnership, which shall be a date certain and shall not be later\nthan the ninetieth day after the date it is filed, if, in either case, th ere has been\nsubstantial compliance with the requirements of this section.","path":["KRS Chapter 362"],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=36756","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:58:55Z","sha256":"1d23a6f05d029955ab5a6c216815af0179e9612578521197ba09d5b523a46572","source_id":"us-ky","stale":false,"prev":"us-ky/krs-362.413","next":"us-ky/krs-362.417"},"notice":"GroundRules: Original legal text.
