{"data":{"id":"us-ky/krs-362.421","jurisdiction":"us-ky","citation":"KRS 362.421","heading":"Execution of certificates.","body":"(1) Each certificate required by KRS 362.403 to 362.525 to be filed with the Secretary\nof State shall be executed in the following manner:\n(a) An original certificate of limited partnership signed by all general partners;\n(b) A certificate of amendment, signed  by at least one (1) general partner and by\neach other general partner designated in the certificate as a new general\npartner; and\n(c) A certificate of cancellation, signed by all general partners.\n(2) Any person may sign a certificate of limited partnersh ip, certificate of amendment\nor certificate of cancellation by an attorney-in-fact, but a power of attorney to sign a\ncertificate of amendment relating to the admission of a general partner shall\nspecifically describe the admission.\n(3) The execution of a certificate of limited partnership, certificate of amendment or\ncertificate of cancellation by a general partner shall constitute an affirmation under\nthe penalties of perjury that the facts stated therein are true.","path":["KRS Chapter 362"],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=34343","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:58:55Z","sha256":"08889873b287670bfd0fdc05a09b0777bec8807ef0b98418197d7e5b1f44e7ce","source_id":"us-ky","stale":false,"prev":"us-ky/krs-362.420","next":"us-ky/krs-362.423"},"notice":"GroundRules: Original legal text.
