{"data":{"id":"us-ky/krs-362.433","jurisdiction":"us-ky","citation":"KRS 362.433","heading":"Admission of limited partners.","body":"(1) A person shall become a limited partner on the later of:\n(a) The date the original certificate of limited partnership is filed; or\n(b) At any later date specified in the records of the limited partnership as the date\nthat person shall become a limited partner.\n(2) After the filing of a limited partnership's original certificate of limited partnership, a\nperson may be admitted as an additional limited partner:\n(a) In the case of a person acquiring a partnership interest directly from the\nlimited partnership, upon compliance with the partnership agreement or, if the\npartnership agreement does not so provide, upon the written consent of all\npartners; and\n(b) In the case of an assignee of a partnership interest of a partner who has the\npower, as provided in KRS 362.483, to grant the assignee the right to become\na limited partner, upon the exercise of that power and compliance with any\nconditions limiting the grant or exercise of the power.","path":["KRS Chapter 362"],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=34350","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:58:55Z","sha256":"7477a2e259fc24c747cbebb3e6ea6510da213c00220db855a83cdf969c59f9a4","source_id":"us-ky","stale":false,"prev":"us-ky/krs-362.431","next":"us-ky/krs-362.435"},"notice":"GroundRules: Original legal text.
