{"data":{"id":"us-ky/krs-362.536","jurisdiction":"us-ky","citation":"KRS 362.536","heading":"Domestic limited partnership's approval of plan of merger -- Amendment -","body":"- Abandonment.\n(1) Each domestic limited partnership that is to be a party to a proposed merger shall\napprove the proposed merger, unless the partnership agreement of that limited\npartnership provides otherwise, by the unanimous vote of the partners of the\npartnership.\n(2) A plan of merger may provide for the manner, if any, in which the plan may be\namended at any time before the filing of the articles of merger with the Secretary of\nState.\n(3) Unless the domestic limited partnership's partnership agreement or the plan of\nmerger, once authorized, provides otherwise, the merger may be abandoned at any\ntime before the filing of the articles of merger with the Secretary of State by the\naffirmative vote of all partners of the domestic limited partnership (subject to any\ncontractual rights) in accordance with the procedure set forth in the plan of merger,\nif any.","path":["KRS Chapter 362"],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=34409","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:58:56Z","sha256":"8d575c29a0fc6b2042f81de9a9d0494dd75d7f3e1a9dbaf7b425d2363d1a2dd2","source_id":"us-ky","stale":false,"prev":"us-ky/krs-362.531","next":"us-ky/krs-362.540"},"notice":"GroundRules: Original legal text.
