{"data":{"id":"us-ky/krs-362.575","jurisdiction":"us-ky","citation":"KRS 362.575","heading":"Intent and policy of Commonwealth regarding registered limited liability","body":"partnerships.\n(1) A registered limited liability partnership, formed and existing under KRS 362.155,\n362.175, 362.190, 362.220, 362.235, 362.315, 362.325, 362.345, and KRS 362.55 5\nto 362.605, may conduct its business, carry on its operations, and have and exercise\nthe powers granted by KRS 362.155, 362.175, 362.190, 362.220, 362.235, 362.315,\n362.325, 362.345, and KRS 362.555 to 362.605 in any state, territory, district, or\npossession of the United States or in any foreign country.\n(2) It is the intent of the General Assembly that the legal existence of any registered\nlimited liability partnership formed and existing under KRS 362.155, 362.175,\n362.190, 362.220, 362.235, 362.315, 3 62.325, 362.345, and KRS 362.555 to\n362.605 shall be recognized outside the boundaries of this Commonwealth and that\nthe laws of this Commonwealth governing any registered limited liability\npartnership transacting business outside this Commonwealth shall b e granted the\nprotection of full faith and credit under the Constitution of the United States.\n(3) It is the policy of this Commonwealth that the internal affairs of registered limited\nliability partnerships, formed and existing under KRS 362.155, 362.175,  362.190,\n362.220, 362.235, 362.315, 362.325, 362.345, and KRS 362.555 to 362.605,\nincluding the liability of partners for debts, obligations, and liabilities chargeable to\npartnerships, shall be subject to and governed by the laws of this Commonwealth.\n(4) Subject to any statutes for the regulation and control of specific types of business\nlimited liability partnerships, formed and existing under the laws of another state or\njurisdiction, may engage in any business in this Commonwealth.\n(5) It is the polic y of this Commonwealth that the internal affairs of partnerships,\nincluding limited liability partnerships, formed and existing under the laws of\nanother state or jurisdiction, including the liability of partners for debts, obligations,\nand liabilities cha rgeable to partnerships, shall be subject to and governed by the\nlaws of that other state or jurisdiction.","path":["KRS Chapter 362"],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=34418","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:58:56Z","sha256":"d56cd6ef06a21b7b53139a9b18773f7765b9c4c4a62196815304c2706f2b3e76","source_id":"us-ky","stale":false,"prev":"us-ky/krs-362.570","next":"us-ky/krs-362.580"},"notice":"GroundRules: Original legal text.
