{"data":{"id":"us-ky/krs-381.787","jurisdiction":"us-ky","citation":"KRS 381.787","heading":"Establishment and organization of planned community -- Board of","body":"directors -- Declaration or bylaws -- Removal of board member.\n(1) A declarant shall establish an association no later than the date upon which the first\nlot in the planned commu nity is conveyed to a purchaser for fair market value. The\nassociation shall be organized as a nonprofit corporation pursuant to KRS Chapter\n273 or as an unincorporated nonprofit association pursuant to KRS Chapter 273A.\n(2) The association shall consist o f members who own a lot or lots in the planned\ncommunity. The association shall be administered by a board of directors elected\nfrom among the owners. The owners shall elect a board with at least three (3)\ndirectors who shall take office upon election no l ater than the termination of any\ndeclarant control period.\n(3)  Unless otherwise provided in the governing documents, the board of directors shall\nbe authorized to carry out the provisions of KRS 381.785 to 381.801. If an owner is\nnot a natural person, a p rincipal member of a limited liability company, partner,\ndirector, officer, trustee, or employee of the owner may be elected to the board of\ndirectors.\n(4) The initial board of directors shall promulgate the initial bylaws of the association.\n(5) Subject to other provisions of KRS 381.785 to 381.801, the declaration or bylaws\nfor an incorporated or unincorporated association shall provide for the following:\n(a) The number of persons constituting the board;\n(b) The election method and terms of the board;\n(c) The powers and duties of the board;\n(d) The method of removal of directors from the board;\n(e) The method of amending the declaration and bylaws;\n(f) The frequency, time, and place for holding board meetings and the manner of\nand authority for calling, giving notice of, and conducting board meetings;\nand\n(g) Any other matters the declarant or the association deems necessary and\nappropriate.\n(6) Unless a higher percentage of votes is required under the declaration or bylaws, the\nowners may remove any member of the board with or without cause, except a\ndirector appointed by the declarant, by a majority vote of all persons present in\nperson or by proxy and entitled to vote at any meeting of the association at which a\nquorum is present.","path":["KRS Chapter 381"],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=53658","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:59:11Z","sha256":"0520c1c845ddf898c1cc2edae14b91768c5ca9fc6330af38ca9d19c3761c1a4c","source_id":"us-ky","stale":false,"prev":"us-ky/krs-381.786","next":"us-ky/krs-381.788"},"notice":"GroundRules: Original legal text.
