{"data":{"id":"us-ky/krs-386a.7-070","jurisdiction":"us-ky","citation":"KRS 386A.7-070","heading":"Filings required for merger -- Effective date.","body":"(1) A converted statutory trust shall be for all purposes the same entity that existed\nbefore the conversion.\n(2) When a conversion takes effect:\n(a) All property and contract rights owned by, and all rights, privileges, and\nimmunities of the converting organi zation shall remain vested in the\nconverted statutory trust without assignment, reversion, or impairment;\n(b) All obligations of the converting organization shall continue as obligations of\nthe converted statutory trust;\n(c) An action or proceeding pending  against the converting organization may be\ncontinued as if the conversion had not occurred, and the name of the\nconverted statutory trust may be substituted in any pending action or\nproceeding for the name of the converting organization; and\n(d) The gover ning instrument of the converted statutory trust shall be binding\nupon each person who becomes a beneficial owner or trustee of the converted\nstatutory trust.","path":[],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=40404","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:59:18Z","sha256":"70077054444eebc00f7cf94d092294d1caf00de48f04d06b4a327dc1a40535d2","source_id":"us-ky","stale":false,"prev":"us-ky/krs-386a.7-060","next":"us-ky/krs-386a.7-080"},"notice":"GroundRules: Original legal text.
