{"data":{"id":"us-ky/krs-502.050","jurisdiction":"us-ky","citation":"KRS 502.050","heading":"Corporate liability.","body":"(1) A corporation is guilty of an offense when:\n(a) The conduct constituting the offense consists of a failure to discharge a\nspecific duty imposed upon corporations by law; or\n(b) The conduct constituting the offense is engaged in, authorized, commanded or\nwantonly tolerated by the board of directors or by  a high managerial agent\nacting within the scope of his employment in behalf of the corporation; or\n(c) The conduct constituting the offense is engaged in by an agent of the\ncorporation acting within the scope of his employment and in behalf of the\ncorporation and:\n1. The offense is a misdemeanor or violation; or\n2. The offense is one defined by a statute which clearly indicates a\nlegislative intent to impose such criminal liability on a corporation.\n(2) As used in this section:\n(a) \"Agent\" means any officer, director, servant or employee of the corporation or\nany other person authorized to act in behalf of the corporation.\n(b) \"High managerial agent\" means an officer of a corporation or any other agent\nof a corporation who has duties of such responsibility that his conduct\nreasonably may be assumed to represent the policy of the corporation.","path":["KRS Chapter 502"],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=19663","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T21:00:00Z","sha256":"b8b2a1bda847bd1a5e252438681b342ead1359a79ae48c1a4cd90f19bca36531","source_id":"us-ky","stale":false,"prev":"us-ky/krs-502.040","next":"us-ky/krs-502.060"},"notice":"GroundRules: Original legal text.
