A majority of the members\nshall constitute a quorum for the purpose of conducting business and exercising\npowers and for all other purposes. Action may be taken by the authority upon a vote\nof a majority of the members present, unless in any case the bylaws of the authority\nrequire a larger number.  An authority shall select from among its members a\nchairman and a vice chairman, and it may employ a secretary (who shall be\nexecutive director), technical experts, and such other officers, agents, and other\nemployees, permanent and temporary, as it may r equire, and shall determine their\nqualifications, duties, and compensation. For such legal services as it may require,\nan authority may call upon the chief law officer of the city or a county for which it\nis created, or may employ its own counsel and legal staff. An authority may delegate\nto one (1) or more of its agents or employees such powers or duties as it deems\nproper.\n(2) Notwithstanding subsection (1) of this section, when a city of the first class and a\ncounty containing such city have in effect a compact under KRS 79.310 to 79.330,\nthe secretary, who shall be the executive director, shall be appointed by and serve at\nthe pleasure of the county judge/executive with the approval of the fiscal court\npursuant to KRS 67.040.
