(a) Each certificate required by sections eight to sixteen, inclusive, to be filed in the office of the secretary of state shall be executed in the following manner:\n(1) an original certificate of limited partnership must be signed by all general partners;\n(2) a certificate of amendment must be signed by at least one general partner and by each other general partner designated in the certificate as a new general partner; and\n(3) a certificate of cancellation must be signed by all general partners.\n(b) Any person may sign a certificate by an attorney-in-fact, but a power of attorney to sign a certificate relating to the admission of a general partner must specifically describe the admission.\n(c) The execution of a certificate by a general partner constitutes an affirmation under the penalties of perjury that the facts stated therein are true.","path":["Part I","Title XV","Chapter 109"],"source_url":"https://malegislature.gov/Laws/GeneralLaws/PartI/TitleXV/Chapter109/Section11","current_through":"amendments passed before May 31, 2026","vintage":"","retrieved_at":"2026-09-17T05:22:34Z","sha256":"d0a01f61e3b33cfbbd329fae40aa899251b8fc4e29458c036372df56a5446ad6","source_id":"us-ma","stale":false,"prev":"us-ma/mass.-gen.-laws-ch.-109-10","next":"us-ma/mass.-gen.-laws-ch.-109-12"},"notice":"GroundRules: Original legal text.
