A certificate of organization shall be cancelled upon the dissolution and the completion of winding up of a limited liability company, or at any other time there are no members, or upon the filing of a certificate of consolidation or merger if the limited liability company is not the resulting or surviving entity in a consolidation or merger. A certificate of cancellation shall be filed in the office of the state secretary to accomplish the cancellation of a certificate of organization upon the dissolution and the completion of winding up of a limited liability company or at any other time there are no members and shall set forth:\n(1) the name of the limited liability company;\n(2) the date of filing of its certificate of organization;\n(3) the reason for filing the certificate of cancellation;\n(4) the effective date, which shall be a date certain, of cancellation if it is not to be effective upon the filing of the certificate; and\n(5) any other information the person filing the certificate of cancellation determines.","path":["Part I","Title XXII","Chapter 156C"],"source_url":"https://malegislature.gov/Laws/GeneralLaws/PartI/TitleXXII/Chapter156C/Section14","current_through":"amendments passed before May 31, 2026","vintage":"","retrieved_at":"2026-09-17T05:23:39Z","sha256":"95ad7c46a47c854fabf6eec01f2e7f99feec2b6cbb150a2c5fb77df821c713fe","source_id":"us-ma","stale":false,"prev":"us-ma/mass.-gen.-laws-ch.-156c-13","next":"us-ma/mass.-gen.-laws-ch.-156c-15"},"notice":"GroundRules: Original legal text.
