Code, Corporations and Associations § 2–117","heading":"","body":"(a) In this section, “emergency” has the meaning stated in § 2–116 of this subtitle.\n(b) During an emergency, unless the bylaws contain emergency provisions providing otherwise, notice of a meeting of the board of directors may be given:\n(1) Only to those directors whom it is practicable to reach in the circumstances;\n(2) In any practicable manner given the circumstances; and\n(3) With shorter notice as is reasonable in the circumstances.\n(c) Any corporate act taken in good faith under this section during an emergency:\n(1) Binds the corporation; and\n(2) May not be used to impose liability on a director, an officer, an employee, or an agent of the corporation.","path":["Article - Corporations and Associations"],"source_url":"https://mgaleg.maryland.gov/mgawebsite/Laws/StatuteText?article=gca\u0026section=2-117","current_through":"2026-01-01","vintage":"","retrieved_at":"2026-09-14T19:56:43Z","sha256":"7ddc340d8b29fd2eb9899e453ecca26ff09e5d7f71e38d37b974f8cb794beade","source_id":"us-md","stale":false,"prev":"us-md/md.-code-corporations-and-associations-2-116","next":"us-md/md.-code-corporations-and-associations-2-118"},"notice":"GroundRules: Original legal text.
