Code, Corporations and Associations § 2–301","heading":"","body":"(a) (1) In this subtitle, “distribution” means:\n(i) A direct or indirect transfer of money or other property of the corporation in respect of any of its shares; or\n(ii) An incurrence or forgiveness of indebtedness by a corporation to or for the benefit of the corporation’s stockholders in respect of any of its shares.\n(2) “Distribution” does not include a stock dividend or stock split authorized in accordance with § 2-309(c) of this subtitle.\n(b) A distribution may be in the form of:\n(1) A declaration or payment of a dividend;\n(2) A purchase, redemption, whether or not at the option of the corporation or the stockholders, or other acquisition of shares; or\n(3) An issuance of evidence of indebtedness.","path":["Article - Corporations and Associations"],"source_url":"https://mgaleg.maryland.gov/mgawebsite/Laws/StatuteText?article=gca\u0026section=2-301","current_through":"2026-01-01","vintage":"","retrieved_at":"2026-09-14T19:56:43Z","sha256":"419e962faa2878df6c81490dfd4710fa794d8e2d69304343b6cb812c4772879e","source_id":"us-md","stale":false,"prev":"us-md/md.-code-corporations-and-associations-2-216","next":"us-md/md.-code-corporations-and-associations-2-302"},"notice":"GroundRules: Original legal text.
