Code, Corporations and Associations § 3–102","heading":"","body":"(a) A Maryland corporation having capital stock may:\n(1) Consolidate with one or more other Maryland or foreign corporations having capital stock to form a new consolidated corporation;\n(2) Merge into another Maryland or foreign corporation having capital stock, or have one or more such corporations merged into it;\n(3) Merge into a domestic or foreign business trust having transferable units of beneficial interest, or have one or more such business trusts merge into it;\n(4) Merge into a domestic or foreign limited partnership, or have one or more domestic or foreign limited partnerships merged into it;\n(5) Merge into a domestic or foreign limited liability company, or have one or more domestic or foreign limited liability companies merged into it;\n(6) Merge into a domestic or foreign partnership, or have one or more domestic or foreign partnerships merged into it;\n(7) Participate in a share exchange either:\n(i) As the successor; or\n(ii) As the corporation the stock of which is to be acquired; or\n(8) Transfer its assets.\n(b) The provisions of this subtitle do not repeal, modify, or affect in any way a restriction or limitation:\n(1) Imposed on a corporation by State or other applicable law or by a charter provision which applies to a consolidation, merger share exchange, or transfer of assets; or\n(2) Contained in a franchise granted by the State or any of its political subdivisions which applies to a transfer or assignment of the franchise.","path":["Article - Corporations and Associations"],"source_url":"https://mgaleg.maryland.gov/mgawebsite/Laws/StatuteText?article=gca\u0026section=3-102","current_through":"2026-01-01","vintage":"","retrieved_at":"2026-09-14T19:56:43Z","sha256":"3a6fa0431921d21947257ad7437cbc77a569042b14d28a4bae3178b5d44945fa","source_id":"us-md","stale":false,"prev":"us-md/md.-code-corporations-and-associations-3-101","next":"us-md/md.-code-corporations-and-associations-3-103"},"notice":"GroundRules: Original legal text.
