Code, Corporations and Associations § 3–514","heading":"","body":"(a) Any person who transacts business in the name or for the account of a corporation knowing that its charter has been forfeited and has not been revived is guilty of a misdemeanor and on conviction is subject to a fine of not more than $500.\n(b) For the purpose of this section, unless there is clear evidence to the contrary, a person who was an officer or director of a corporation at the time its charter was forfeited is presumed to know of the forfeiture.\n(c) A prosecution for violation of the provisions of this section may not be instituted after the date articles of revival of the corporation are filed.","path":["Article - Corporations and Associations"],"source_url":"https://mgaleg.maryland.gov/mgawebsite/Laws/StatuteText?article=gca\u0026section=3-514","current_through":"2026-01-01","vintage":"","retrieved_at":"2026-09-14T19:56:43Z","sha256":"08caada989d6c96883fa3a84ca4f4a4ab14f8a94642c8434e698983fa19f4575","source_id":"us-md","stale":false,"prev":"us-md/md.-code-corporations-and-associations-3-513","next":"us-md/md.-code-corporations-and-associations-3-515"},"notice":"GroundRules: Original legal text.
