Code, Corporations and Associations § 4A–1202","heading":"","body":"(a) The provisions of this title apply to benefit limited liability companies except to the extent that:\n(1) The context of a provision clearly requires otherwise; or\n(2) A specific provision of this title provides otherwise.\n(b) This subtitle applies only to a benefit limited liability company.\n(c) (1) The existence of a provision of this subtitle does not of itself create any implication that a contrary or different rule of law is or would be applicable to a limited liability company that is not a benefit limited liability company.\n(2) This subtitle does not affect any statute or rule of law as it applies to a limited liability company that is not a benefit limited liability company.\n(d) A provision of the articles of organization or operating agreement of a benefit limited liability company may not be inconsistent with any provision of this subtitle.","path":["Article - Corporations and Associations"],"source_url":"https://mgaleg.maryland.gov/mgawebsite/Laws/StatuteText?article=gca\u0026section=4A-1202","current_through":"2026-01-01","vintage":"","retrieved_at":"2026-09-14T19:56:43Z","sha256":"ce9af109b7cf226e50c89e6eb7e74f811e7157f192f872a20e43bc7323c014c5","source_id":"us-md","stale":false,"prev":"us-md/md.-code-corporations-and-associations-4a-1201","next":"us-md/md.-code-corporations-and-associations-4a-1203"},"notice":"GroundRules: Original legal text.
