Code, Corporations and Associations § 4A–213","heading":"","body":"(a) A general or limited partnership that has been converted to a limited liability company pursuant to § 4A-211 of this subtitle shall be deemed for all purposes the same entity that existed before the conversion.\n(b) When a conversion takes effect:\n(1) All property owned by the converting general or limited partnership or the converting proprietorship remains vested in the converted entity;\n(2) All obligations and liabilities of the converting general or limited partnership or the converting proprietorship remain vested in the converted entity; and\n(3) An action or proceeding pending against the converting general or limited partnership or the converting proprietorship may be continued as if the conversion had not occurred.\n(c) In the case of a limited partnership that has been converted pursuant to § 4A-211 of this subtitle, the articles of organization filed pursuant to § 4A-211(a) of this subtitle shall serve as a certificate of cancellation of the converting limited partnership.","path":["Article - Corporations and Associations"],"source_url":"https://mgaleg.maryland.gov/mgawebsite/Laws/StatuteText?article=gca\u0026section=4A-213","current_through":"2026-01-01","vintage":"","retrieved_at":"2026-09-14T19:56:43Z","sha256":"2fb529df7f34bc70d0f90828348c6d1f902938d9f810b9099344b85601f8f813","source_id":"us-md","stale":false,"prev":"us-md/md.-code-corporations-and-associations-4a-212","next":"us-md/md.-code-corporations-and-associations-4a-301"},"notice":"GroundRules: Original legal text.
