Code, Corporations and Associations § 4A–604","heading":"","body":"(a) An assignee of an economic interest in a limited liability company may become a member of the limited liability company under any of the following circumstances:\n(1) In accordance with the terms of the operating agreement providing for the admission of a member;\n(2) By the unanimous consent of the members; or\n(3) If there are no remaining members of the limited liability company at the time the assignee obtains the economic interest, on terms that the assignee may determine in accordance with § 4A–902(b)(1)(i) of this title.\n(b) An assignee who becomes a member:\n(1) Has, to the extent assigned, the rights and powers, and is subject to the restrictions and liabilities, of a member under the operating agreement and this title; and\n(2) Is liable for any obligations of his assignor to make capital contributions.","path":["Article - Corporations and Associations"],"source_url":"https://mgaleg.maryland.gov/mgawebsite/Laws/StatuteText?article=gca\u0026section=4A-604","current_through":"2026-01-01","vintage":"","retrieved_at":"2026-09-14T19:56:43Z","sha256":"7c09eef52bea412d610345538a09caa3d80db82dd0da5381009bcd59bd5dc029","source_id":"us-md","stale":false,"prev":"us-md/md.-code-corporations-and-associations-4a-603","next":"us-md/md.-code-corporations-and-associations-4a-605"},"notice":"GroundRules: Original legal text.
