Code, Corporations and Associations § 4A–906","heading":"","body":"On the winding up and termination of a limited liability company, the assets shall be distributed as follows:\n(1) To creditors, including members who are creditors, to the extent permitted by law, in satisfaction of the liabilities of the limited liability company; and\n(2) Unless otherwise agreed, to the members in proportion to their respective capital contribution values, after the capital contribution values are adjusted by:\n(i) Adding to the members’ capital contribution values their respective shares of the profits of the limited liability company; and\n(ii) Deducting from the members’ capital contribution values their respective shares of the losses of the limited liability company and all distributions previously received by the members.","path":["Article - Corporations and Associations"],"source_url":"https://mgaleg.maryland.gov/mgawebsite/Laws/StatuteText?article=gca\u0026section=4A-906","current_through":"2026-01-01","vintage":"","retrieved_at":"2026-09-14T19:56:43Z","sha256":"5c4f859d2f338faff37ed5b84a8dbfdbf7a1f5d2c4c0f01e99b4818bed05bce8","source_id":"us-md","stale":false,"prev":"us-md/md.-code-corporations-and-associations-4a-905","next":"us-md/md.-code-corporations-and-associations-4a-907"},"notice":"GroundRules: Original legal text.
