Code, Corporations and Associations § 5–112","heading":"","body":"(a) A corporation may elect to be a professional corporation under this subtitle by including in the articles of incorporation a statement that:\n(1) The corporation is a professional corporation; and\n(2) The corporation’s purpose is to render the professional services specified.\n(b) A corporation incorporated in the State may elect professional corporation status by amending its articles of incorporation to comply with subsection (a) of this section and §§ 5-106 through 5-108 of this subtitle.\n(c) A corporation that, prior to the effective date of this subtitle, was a duly organized professional corporation in the State shall be deemed a duly organized professional corporation under this subtitle.","path":["Article - Corporations and Associations"],"source_url":"https://mgaleg.maryland.gov/mgawebsite/Laws/StatuteText?article=gca\u0026section=5-112","current_through":"2026-01-01","vintage":"","retrieved_at":"2026-09-14T19:56:43Z","sha256":"24052b3c7495c5c79480240138b46f04d61f4782ee262288c63bc54ba9722557","source_id":"us-md","stale":false,"prev":"us-md/md.-code-corporations-and-associations-5-111","next":"us-md/md.-code-corporations-and-associations-5-113"},"notice":"GroundRules: Original legal text.
